1. Introduction / Acceptance of Terms

1.1. These Terms of Use ("Terms") govern your access to and use of the services, software, application(s), websites (including buildwithverge.com), platforms, APIs, content, and functionality offered by Verge Financial Technologies Ltd (a company incorporated in Ghana) and Verge Financial Technologies, Inc. (a U.S. company) (collectively "Verge", "we", "us", "our").

1.2. By ("you", "your", "user") accessing or using any Verge service, you agree to be bound by these Terms (and any other terms or policies incorporated by reference, including the Privacy Policy below). If you do not agree, do not use the services.

1.3. We reserve the right to modify, suspend, or discontinue any service (in whole or part) at our discretion, including in response to legal or regulatory requirements, with or without notice (though we will endeavor to provide notice where feasible).

2. Eligibility; Account Registration

2.1. You affirm that you are of legal age in your jurisdiction to enter into a binding contract (or, if not, have appropriate parental or guardian consent).

2.2. To use certain features, you may be required to register for an account and provide certain personal, financial or business information. You agree to provide true, accurate, current, and complete information, and to update it as necessary.

2.3. You are responsible for maintaining the confidentiality of your login credentials, and for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.

3. Services & Use Restrictions

3.1. Subject to these Terms, we grant you a limited, non-exclusive, non-transferrable, revocable license to access and use the services for your personal or business use (as permitted) in accordance with documentation and these Terms.

3.2. You shall not (and shall not permit others to):

  • (a) reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code from our software;
  • (b) tamper with, hack, probe, or circumvent security measures;
  • (c) use the services to commit fraud, money laundering, or other illegal acts;
  • (d) use automated means (bots, scrapers) unless expressly permitted;
  • (e) use the service to infringe intellectual property or rights of privacy;
  • (f) resell, sublicense, or distribute the services or content except as expressly allowed.

3.3. We may suspend or terminate your access immediately if you violate these Terms or as required by law or regulation.

4. Fees, Payments, Refunds

4.1. Some services or features may require payment of fees. You agree to pay all applicable fees and taxes in a timely manner.

4.2. We may change pricing, add new fees, or modify features; we will provide notice (e.g., via email or on our site) in advance of material changes.

4.3. Unless otherwise agreed, payments are non-refundable (except as required under applicable law).

4.4. If payments are late, we may suspend or terminate services and/or charge interest or fees to the extent permitted by law.

5. Intellectual Property

5.1. All copyrights, trademarks, trade secrets, patents, and other intellectual property rights (including software, interfaces, APIs, documentation, domain names, content) in or relating to the services belong to Verge or its licensors.

5.2. You are granted only those rights expressly conferred in these Terms.

5.3. You may not remove, obscure, or alter any proprietary notices (copyright, trademark) on the services.

6. User Content and Licenses

6.1. You may upload or submit content ("User Content") through your use of the services, in compliance with these Terms.

6.2. By submitting User Content, you grant Verge a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, store, process, reproduce, adapt, transmit, display, and distribute such content to the extent needed to provide the services, maintain, improve, and promote our offerings, and comply with legal obligations.

6.3. You represent and warrant that you own or have the necessary rights to the User Content, and that its submission does not infringe any third-party rights or violate applicable laws.

6.4. We may (but are not required to) monitor, filter, or remove User Content that violates these Terms or applicable law.

7. Data Protection and Privacy

Your use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the services, you consent to our collection, use, and sharing of information as described in that Policy.

8. Disclaimers; No Guarantee; Risk

8.1. The services are provided "as is" and "as available", without warranties of any kind.

8.2. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

8.3. We do not guarantee continuous or error-free access.

8.4. You assume all risk associated with your use of the services.

9. Limitation of Liability

9.1. To the fullest extent permitted by law, Verge shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages.

9.2. Our aggregate liability shall not exceed the total fees paid by you to us in the preceding 12 months (or USD 100 if no payment was made).

9.3. Some jurisdictions may not allow limitation or exclusion of certain damages; some of the above may not apply.

10. Indemnification

You agree to indemnify and hold harmless Verge, its affiliates, and their respective officers, directors, employees, and agents from all claims, losses, damages, or expenses (including reasonable attorneys' fees) arising from your use of the services or violation of these Terms.

11. Termination

We may terminate or suspend your access at any time, with or without cause. Upon termination, all rights granted to you cease immediately.

12. Governing Law & Dispute Resolution

  • For users in Ghana, these Terms are governed by the laws of Ghana, and disputes shall be resolved in Ghanaian courts.
  • For U.S. users, these Terms are governed by the laws of the State of Delaware, without regard to conflicts of law, and disputes shall be resolved in the federal or state courts located in Delaware.

13. Modifications

We may revise these Terms periodically. Continued use after updates constitutes acceptance of the new Terms.

14. Miscellaneous

If any provision is invalid, the remainder remains enforceable. No waiver is implied by inaction. Verge may assign its rights to any affiliate or successor.
